Terms of sale
These terms apply to contracts for the purchase of goods in which Celvadis OÜ is the seller, in particular via online marketplaces.

§ 1 Scope
(1) These terms of sale apply to all contracts for the purchase of goods that customers conclude with Celvadis OÜ, Pärnu mnt 139b-14, 11317 Tallinn, Estonia, registry code 17608378 (hereinafter ‘Celvadis’ or ‘we’), as the seller, in particular via online marketplaces. For orders placed via an online marketplace, its binding rules on the ordering process, conclusion of the contract and payment take precedence over these terms.
(2) A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade or self-employed profession. A trader is a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their trade or self-employed profession.
(3) Deviating general terms and conditions of the customer do not become part of the contract unless we expressly agree to their application.
§ 2 Conclusion of the contract
(1) For orders placed via an online marketplace, the technical steps up to the conclusion of the contract, the time at which the contract is concluded and the means of identifying and correcting input errors before placing the order are governed by the ordering process of the respective marketplace, which is shown to you there before you order.
(2) You will receive confirmations of your order by email or via the marketplace’s messaging system.
(3) The contract languages are German and English. For consumers habitually resident in Germany, the German version of these terms applies.
(4) We store the contract text. After the contract has been concluded, it cannot be accessed online from us; you receive the order details and these terms by email or via the marketplace’s messaging system. You can also view your order details in your customer account on the marketplace.
§ 3 Prices and shipping costs
(1) All prices are final prices and include statutory VAT.
(2) Any additional shipping costs are stated in the respective offer and before the order is completed.
§ 4 Payment
(1) The available payment methods are shown during the ordering process.
(2) Payment is due on conclusion of the contract, unless otherwise stated in the ordering process.
§ 5 Delivery
(1) We deliver to the countries stated in the ordering process. The delivery time is stated in the respective offer.
(2) If a product is temporarily unavailable, we will inform you without undue delay. If delivery is not possible, we will refund any payments already made without undue delay.
§ 6 Retention of title
The goods remain our property until they have been paid for in full.
§ 7 Right of withdrawal
Consumers have a statutory right of withdrawal. Details are set out in our information on the right of withdrawal.
§ 8 Liability for defects
(1) The statutory rights in respect of defects apply.
(2) Please report obvious transport damage to the carrier and to us at service@celvadis.com as soon as possible. This does not affect your statutory rights, in particular your rights in respect of defects.
§ 9 Liability
(1) We are liable without limitation in cases of intent and gross negligence, for injury to life, body or health, where we have fraudulently concealed a defect, to the extent of any guarantee we have given, and under mandatory statutory provisions on product liability.
(2) In the event of a slightly negligent breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely), our liability is limited to the foreseeable damage typical of the contract.
(3) In all other respects, liability for slight negligence is excluded.
§ 10 Information on food supplements
Please observe the directions for use and the warnings on the packaging. Food supplements are not a substitute for a varied and balanced diet and a healthy lifestyle. The stated recommended daily intake must not be exceeded. Keep out of the reach of young children.
§ 11 Applicable law and place of jurisdiction
(1) The law of the Republic of Estonia applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection granted by the mandatory provisions of the law of the state in which the consumer has their habitual residence.
(2) If the customer is a trader, the exclusive place of jurisdiction is Tallinn, Estonia. We are also entitled to bring proceedings at the customer’s general place of jurisdiction.
§ 12 Dispute resolution
Consumers can refer disputes to the Consumer Disputes Committee (Tarbijavaidluste komisjon) at the Estonian Consumer Protection and Technical Regulatory Authority (Tarbijakaitse ja Tehnilise Järelevalve Amet, www.ttja.ee). Consumers in other EU countries can also contact the European Consumer Centre in their country. We are neither willing nor obliged to take part in dispute resolution proceedings before other consumer arbitration boards.
